C-Angelx Terms and Conditions
- This agreement was written in English. To the extent any translated version of this agreement conflicts with the English version, the ‘South African English’ version will be the prevailing language of reference.

These Terms and Conditions govern the use of the C-Angelx website and mobile applications operated by:

By accessing or using C-Angelx, you agree to be legally bound by these Terms.
If you do not agree, please do not proceed with the use of the platform.
1. About C-Angelx
C-Angelx is an online multi-vendor ecommerce marketplace platform.
We provide technology that enables:
• Merchants to upload, list, sell products online & then receive money from sales.
• Non-Profit Organizations (NPOs) to upload causes, fundraise & receive donations
• Patrons (customers) to browse and transact
C-Angelx does not own, manufacture, warehouse, or directly sell the products listed by merchants.
All contracts for sale or donation are entered into directly between the Merchant or NPO and the Patron.
2. Eligibility
You must be at least 18 years old to create an account or conduct transactions.
If you are under 18, you may only use C-Angelx under parental or legal guardian supervision.
3. Account Registration & Security
Users must:
• Provide accurate and truthful information
• Maintain confidentiality of login credentials
• Not create duplicate personal accounts
• Not impersonate others
We reserve the right to suspend or terminate accounts that violate these Terms.
4. Use of the Platform
You agree not to:
• Use automated bots or scraping tools
• Sell counterfeit or infringing products
• Upload malicious software
• Engage in fraudulent transactions
• Promote illegal, hateful, or harmful content
• Conduct pyramid or MLM schemes
We may remove listings or suspend accounts that violate these rules.
5. Merchant & NPO Responsibilities
Merchants and NPOs are independent sellers/fundraisers.
They are solely responsible for:
• Product quality
• Inventory availability
• Shipping
• Refunds
• with consumer laws
• Tax obligations
C-Angelx is not responsible for product defects, delivery failures, or merchant conduct.
6. Fees
Patrons use C-Angelx free of charge.
Merchants agree to:
• A 5% commission on completed transactions processed through C-Angelx (subject to periodical review & adjustment upwards or downwards).
• Payment gateway processing fee (charged by third-party processors)
Donations to NPOs are exempt from the 5% platform fee, but may be subject to the 3rd party payment gateway’s fee.
7. Payments
Payments are processed through third-party providers such as PayPal, Payfast, or other licensed processors.
C-Angelx does not store credit card or banking details.
All payment disputes must be addressed with the merchant first.
8. Shipping & Delivery
Merchants are responsible for:
• Packaging
• Courier selection
• Delivery timelines
Risk passes to the customer upon dispatch unless required otherwise by law.
C-Angelx is not liable for courier delays.
9. Refunds & Returns
Refunds and returns are governed by the individual Merchant’s policy.
Patrons must:
• Contact the Merchant directly
• Follow the Merchant’s return instructions
• Return goods in original condition
C-Angelx may assist in dispute mediation but is not obligated to resolve disputes.
10. Verified Accounts
A “Verified” badge indicates identity verification but does not guarantee:
• Product quality
• Delivery performance
• Merchant reliability
C-Angelx shall not be liable for losses arising from transactions with verified accounts.
11. Intellectual Property
- All platform software, branding, and content are owned by C ANGEL ECOMMERCE (PTY) LTD, except only if it’s IP from our 3rd party partners such as software from 3rd party APIs or brands of items for sale - then these are not owned by C-Angelx.
- Anyone can copy and reuse the C-Angelx logo only for purposes of doing business related to C-Angelx & nothing else, such as for our merchants, influencers or media houses to use for advertising, reporting or announcing.
Users may not:
• Copy
• Reverse engineer
• Distribute
• Reproduce
Any unauthorized use may result in legal action.
Trademarks
- C-Angel (PTY) Ltd as a company and platform trading as C-Angelx, will not be held liable in any way regarding the misuse of trademarks that do not belong to us as C-Angelx’ by merchants trading online through C-Angelx, as C-Angelx is only a platform & does not necessarily own the items or trademarks listed in it’ by users.
User Contributed ideas & suggestions
1. Users accept and agree that ideas which are suggested (by them) through our contact forms’ may or may not always be applied to the platform, and in the event that they are applied or adopted – no compensation or acknowledgement or credit will be given to the user individually or as a group. If a user would like to be compensated or credited with an idea prior to its adoption, such a user should first get into a business arrangement with C-Angelx by way of a written and legally binding agreement that is signed by itself & then an authorized C-Angelx representative’ prior to the user disclosing such information to C-Angelx, and an NDA form should optionally be in place too.
1.2. If such a proposal is rejected for various reasons, i.e.: it may not be original, or C-Angelx may already be working on a similar idea or suggestion, lack of interest, etc – the user should accept the outcome. If not satisfied or happy the user is welcome to follow other legal means to verify C-Angelx hasn’t necessarily stolen its idea, however C-Angelx is not obligated to explain itself to the user after rejecting the user’s idea or disagreeing to certain parts of it.
2. User based suggestions on our UX/UI cannot be compensated for even under a business-proposal based approach’ as these change constantly and are improved from time to time.
2.1. Any suggestions via our online contact forms’ which do not meet the standard on clause 1. above (User Contributed ideas & suggestions)’ and are applied or adopted by C-Angelx as based on the functions of use or appearance of our platform may not be ‘claimed back’ by the user nor will we accept any request to us from the user to reverse them’ due to whatever disagreements by the parties – as these would also be regarded as normal ‘User Feedback’ to help us continue improving our platform and offering’ as normal with any other web or app platform.
12. App Use & Permissions
When using the mobile app:
• You grant necessary permissions (location, notifications, etc.)
• You may disable permissions in device settings
• The app may receive updates without prior notice
You may not reverse engineer the application.
13. Disclaimer of Warranties
C-Angelx provides the platform “as is” and “as available.”
We do not guarantee:
• Continuous availability
• Error-free operation
• Merchant performance
To the maximum extent permitted by law, we disclaim implied warranties.
14. Limitation of Liability
To the fullest extent permitted by law:
C-Angelx shall not be liable for:
• Indirect or consequential damages
• Loss of profits
• Loss of data
• Business interruption
Our total liability shall not exceed the amount of commission earned from the specific transaction giving rise to the claim.
15. Account Termination
We reserve the right to:
• Suspend accounts
• Remove listings
• Terminate access
For violations of these Terms.
16. Privacy
Use of C-Angelx is governed by our Privacy Policy.
17. Governing Law
These Terms are governed by the laws of South Africa.
Disputes shall be subject to South African jurisdiction.
18. Amendments
We may update these Terms at any time.
Continued use constitutes acceptance of updated Terms.
